CMB Subscription Procedures
Potential investors are able to receive comprehensive offering materials that will describe in detail the EB-5 investor visa program and the CMB Export, LLC Regional Center. Once the investor is qualified as a candidate and declared an accredited investor (In the U.S. an individual is considered to be an accredited investor if he or she has a net worth of at least $1 million US dollars or has made at least $200,000 US dollars each year for the last two years ($300,000 with spouse if married) and has the expectation to make the same amount in the current year). The client will be presented with the Private Placement Memorandum, Subscription Agreement, Partnership Agreement and Escrow Agreement.
In addition we encourage each potential investor to secure their own legal/financial counsel to review and explain the provisions of each document. Each investor is expected to sign a statement that they in fact have received all of these documents and have read them.
Investors who approve of a particular qualifying investment will be required to execute a subscription agreement, a limited partnership agreement, escrow agreement, and initial receipt of the Private Placement Memorandum. Furthermore the investor must deposit a capital investment in the amount of $530,000 with the authorized CMB escrow agent for the Partnership. |
